Preamble
These General SaaS Subscription Terms ("SaaS GST") govern access to and use, on a subscription basis, of the online application services published by Axel REGNOULT, operating under the trade name Axelo (SIRET 895 214 989 00017 — 128 rue de la Boétie, 75008 Paris, France), referred to below as the "Axelo SaaS".
These SaaS GST supplement the GTCS, the ToU and, for professional Customers where applicable, the DPA (annex GDPR art. 28).
Article 1 — Purpose and nature of the subscription
The purpose of these SaaS GST is to define the conditions under which Axelo makes available to the Customer, remotely and on a hosted basis (Software as a Service), the features of the Axelo SaaS, via online access through an internet browser.
The subscription does not entail any assignment or transfer of software, source code or intellectual property rights. The Customer receives a personal, non-exclusive, non-transferable right of use, limited to the duration of the subscription, for the Customer's own needs.
Article 2 — Subscription and customer account
Subscription takes place online via the website https://www.web-agency.app. The Customer creates a personal account and chooses an identifier and a password.
The Customer is solely responsible for the confidentiality of their credentials and for any activity carried out from their account. The Customer undertakes to inform Axelo without delay of any unauthorised use at legal@web-agency.app. Axelo recommends enabling two-factor authentication where available.
The Customer warrants the accuracy of the information provided upon subscription and undertakes to keep it up to date throughout the term of the subscription.
Article 3 — Pricing and payment
The subscription is offered with two billing periodicities at the Customer's choice:
- Monthly — billed on the first day of each calendar month or on the anniversary date of the subscription;
- Annual — billed at subscription and then on each anniversary date, with a preferential rate compared with the monthly plan.
Prices are displayed in euros on the pricing page of the Site. "VAT not applicable, art. 293 B CGI" — no VAT applies. Payment is due in advance, by bank card via the Stripe provider or by any other means indicated on the Site.
Article 4 — Price changes
Axelo reserves the right to modify its prices. Any change is subject to prior written notification to the Customer, by email to the address registered in their account, at least one (1) month before it takes effect.
A Customer who does not accept the price change may terminate their subscription free of charge before the new price takes effect. Failing termination within this period, the new price is deemed accepted.
Article 5 — Term, tacit renewal and Loi Chatel
The subscription is concluded for the period chosen by the Customer (monthly or annual). It is then tacitly renewed for successive periods of equal duration, unless terminated by either party under the conditions set out in article 6.
5.1 — Consumer Customers (B2C) — Loi Chatel. In accordance with article L.215-1 of the French Consumer Code (Loi Chatel), Axelo informs the consumer Customer, in writing or by dedicated email, of the option not to renew their contract, at the earliest three (3) months and at the latest one (1) month before the end of the period during which renewal can be refused.
In the absence of notification within the statutory periods, the consumer Customer may, at any time, put an end to the tacit renewal without penalty; amounts paid in respect of the period after termination are refunded within thirty (30) days.
5.2 — Professional Customers (B2B). The Loi Chatel does not apply. The professional Customer is responsible for terminating tacit renewal by its own means within the periods set out in article 6.
Article 6 — Termination
The Customer may terminate the subscription at any time from their customer area, or by email to legal@web-agency.app with the subject "SaaS subscription termination".
Termination takes effect at the end of the current calendar month for monthly subscriptions, or on the anniversary date for annual subscriptions. Amounts already paid in respect of the current period remain due to Axelo, subject to application of the Loi Chatel (art. 5.1).
Axelo may terminate the subscription, after formal notice that has remained ineffective for fifteen (15) days, in the event of a serious breach by the Customer of their obligations, including non-payment, misuse of the Axelo SaaS or breach of the ToU.
Article 7 — Suspension for non-payment
In the event of non-payment by the due date, and after formal notice that has remained ineffective for seven (7) days, Axelo reserves the right to suspend access to the Axelo SaaS until the situation is resolved, without prejudice to other available remedies. Suspension does not extinguish the obligation to pay the amounts due.
Reactivation takes place within a maximum of forty-eight (48) working hours after receipt of payment in full and, where applicable, any late-payment penalties provided for in the GTCS.
Article 8 — Customer data and reversibility
Data entered by the Customer into the Axelo SaaS remains the Customer's full and entire property. Axelo acts as processor within the meaning of article 28 of the GDPR on behalf of the Customer where the Customer processes personal data via the SaaS. Detailed processor obligations are set out in the DPA.
Export. The Customer may, at any time during the subscription and up to thirty (30) days after termination, export their data in an open and reusable format (CSV, JSON or equivalent) from their customer area or on request to legal@web-agency.app.
Deletion. After the thirty (30) day period following termination, and unless the Customer requests otherwise during that period, all of the Customer's data is irreversibly deleted from Axelo's production systems. Backups are overwritten by rotation according to the cycle defined in the Business Continuity Policy.
Article 9 — Service availability and SLA
Axelo deploys reasonable means to ensure the availability of the Axelo SaaS 24 hours a day, 7 days a week, subject to maintenance operations and cases of force majeure (art. 1218 CC).
Best-effort undertaking. Unless a separate and explicit Service Level Agreement is entered into, Axelo undertakes no contractual guaranteed uptime. Providing the SaaS is a best-effort obligation, not an obligation of result.

Article 10 — Maintenance and updates
The subscription includes corrective and evolutive maintenance of the Axelo SaaS: security patches, bug fixes, dependency updates, minor feature additions decided unilaterally by Axelo.
Maintenance operations are, where possible, scheduled outside working hours (Monday to Friday, 9 a.m. - 6 p.m. CET). Prior notification is sent to the Customer in the event of scheduled unavailability likely to affect their use.
Bespoke developments requested by the Customer (custom features, dedicated integrations) are not included in the subscription and are subject to a separate quote consistent with the GTCS.
Article 11 — Customer support
Customer support is provided according to the channels, working hours, response times and scope defined in the Customer Support Policy and SLA.
Article 12 — Governing law and jurisdiction
These SaaS GST are governed by French law. Rules on jurisdiction and mediation are identical to those set out in article 21 of the GTCS:
- Consumer Customer (B2C): courts having territorial competence under the French Code of Civil Procedure, consumer mediator CM2C;
- Professional Customer (B2B): exclusive jurisdiction of the Paris Commercial Court.
